About The Position
The Corporate and Legal Operations Paralegal will work directly with our General Counsel and Associate General Counsel in supporting the activities of the Astec Legal Department. The Corporate and Legal Operations Paralegal will have strong organizational, interpersonal, and communication skills as well as a good eye for detail and a history of working efficiently. The Corporate and Legal Operations Paralegal should be able to manage multiple projects and be familiar with both office software and legal department management tools.
LOCATION: This position will be located onsite in Chattanooga, TN, with potential hybrid opportunities. Our ideal candidate will have corporate legal experience.

About The Position

Key Deliverables
- Assist with creation, implementation, and administration of legal workflows with Astec.
- Manage Astec’s corporate legal entities.
- Research and develop processes that increase the effectiveness of the legal and compliance functions within the company.
- Assist with the management of the public company board.
- Oversee and implement special projects.
- Day to day support of company’s legal function, including both General Counsel and Associate General Counsel
- Support the General Counsel and Associate General Counsel in connection with implementing changes to the legal workflows across the company.
- Manage the company’s corporate entities, including formation, maintenance, and dissolution of entities, registered agents, preparing corporate filings, and tracking authorized signatories.
- Assist the Corporate Secretary in management of the public company board of directors and board committees, including meeting scheduling, preparing, and maintaining charters and minutes, D&O questionnaires, and orientation and training.
- Compile and deliver board materials through the company’s board communication portal and ensure the Board records, correspondence, minutes, and activities are properly maintained and properly secured
- Maintain relationships with law firms and vendors and enforce billing guidelines.
- Research, develop, implement and maintain processes, resources, and tools for enhancing the efficiency, organization and effectiveness of the Legal Department operations and serving as project lead for various projects and initiatives in connection with the same.
- Handle and secure sensitive and confidential communications, documents, and files.
- Oversee the organization, implementation, and coordination of other special projects as requested.
- Build rapport with internal and external stakeholders to become the point of intake for the Legal Dept.
- Facilitate responsive and accurate communication with various company stakeholders.
- Collaborate closely with the legal team on the development, design, and implementation of key reports and presentations.
- Manage the processing of legal invoices via the company’s Legal Tracker platform.
- Coordinate with U.S. and international counsel to facilitate notarizations, apostilles, and other related duties.
- Ad hoc legal and/or compliance tasks that arise.
- Associate degree in Paralegal Studies or related field required, Bachelor’s degree in Paralegal Studies or related field preferred. MBA a plus.
- Paralegal certificate or other secondary professional education preferred.
- 4+ Years of related experience required. Corporate legal department experience preferred.
- Seasoned paralegal with expertise collaborating closely with senior leaders on complex and highly confidential information; experience as a board liaison preferred.
- Proficiency in software, technology and tools such as Microsoft Office (Word, PowerPoint, and Excel), SharePoint, and DocuSign. Experience with entity management systems, Nasdaq Boardvantage, Legal Tracker, Visio, and other legal department management tools a plus.
- Experienced at working autonomously and efficiently under tight deadlines in a global, demanding environment that may require you to quickly pivot while problem solving and executing with precision.
- Excellent organizational, written, verbal and presentation skills. Confident, articulate, and professional.
- Skilled at and passionate about project management – coordinating internally and externally with various key stakeholders.
- Self-starter who can develop cross-functional relationships within the organization, both with peer level and executive leadership.
- Observant with attention to detail.
- Willingness to be flexible, learn, and to engage new areas and tasks and learn to become the respective Astec subject matter expert in those new areas.
- Professional and communicative.
- Ability to handle company confidential information and data requiring the highest degree of discretion in order to preserve confidentiality.
